Introduction and Acceptance of Terms

Welcome to trinitee.com (the “Site”), which is operated by trinitee, s.r.o. (“trinitee”, “we”, “us”, or “our”). The following Terms of Service (“Terms”) govern your access to and use of our Site. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

This includes our company name “trinitee” and our trinitee.com domain, our logos and brand designs, and all original content we create for the Site. All rights are reserved.

Trademarks: “trinitee” and our logo are trademarks or service marks of trinitee, s.r.o. You may not use any trinitee trademarks, logos, or trade names without our prior written permission. Other product and company names appearing on the Site may be trademarks of their respective owners – for example, we reference ServiceNow and may display the ServiceNow logo as we are official partners; such third-party marks are used for identification only and remain the property of their owners. Nothing in these Terms grants you any rights to use any trademarks featured on the Site.

Limited License for Site Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Site and its content for your personal use or internal business purposes only. This means you may view, download, or print content from the Site solely for legitimate use (for example, learning about our services or evaluating a career opportunity). Our total cumulative liability to you for any direct damages or claims arising out of or related to these Terms or the Site is limited to fifty (50) Euros (or the equivalent in your local currency) or the amount you have paid us in the past six months for services accessed via the Site (if applicable), whichever is greater. This is an aggregate limit for all claims.

The limitations above apply regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails of its essential purpose.

Exceptions: Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our gross negligence or willful misconduct, or (b) any other liability that cannot be limited or excluded by law. Additionally, because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, the above limitation may not apply to you in its entirety. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You acknowledge and agree that the warranty disclaimers and liability limits set forth in these Terms are material conditions of our agreement and that we would not provide the Site without these protections.

Indemnification

You agree to indemnify, defend, and hold harmless trinitee, s.r.o. and its affiliates, and their officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with:

1. your access to or use of the Site (including any content you submit);

2. your violation of any provision of these Terms;

3. your violation of any applicable law or regulation in connection with your use of the Site; or

4. any claim that your User Submission or other actions infringe or violate the rights of a third party.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of trinitee. We will use reasonable efforts to notify you of any claim, action, or proceeding subject to this indemnification upon becoming aware of it.

Termination; Suspension

trinitee reserves the right, at our discretion, to suspend or terminate your access to the Site (or portions of it) at any time and for any reason, without notice. We may do so if, for example, we believe you have violated these Terms or are misusing the Site. We may also remove or refuse to display any content on the Site for any reason.

Additionally, we reserve the right to discontinue or modify the Site (or any part of it) at any time, including by shutting it down permanently or restricting access to certain areas, without prior notice. We will not be liable to you or any third party for any suspension, termination, or modification of the Site or your access to it.

If these Terms are terminated, the provisions that by their nature should survive termination (such as disclaimers of warranties, limitations of liability, and governing law) will continue to apply. Termination does not affect any rights or obligations that have accrued prior to termination.

Governing Law and Jurisdiction

These Terms and any disputes arising from or relating to the Site or these Terms shall be governed by the laws of the Czech Republic, without regard to its conflict of law principles. However, if you are a consumer residing in the European Union, you may also be entitled to the protection of the mandatory consumer protection provisions of your country of residence, and nothing in these Terms affects your rights as a consumer to rely on such local law.

Jurisdiction: Any legal suit, action, or proceeding arising out of or related to these Terms or the use of the Site shall be instituted in the courts of competent jurisdiction in the Czech Republic (specifically, the courts of Prague, Czech Republic, unless another venue is required by mandatory law). Both you and trinitee consent to the exclusive jurisdiction of such courts and waive any objections to the exercise of jurisdiction over the parties by those courts and to venue in those courts, except that we recognize you may have rights to initiate proceedings in your country of residence under certain consumer protection laws.

Notwithstanding the above, we reserve the right to seek injunctive or equitable relief in any jurisdiction to prevent unauthorized use of our intellectual property or breaches of security.

Consumer Rights and Export Compliance

If you are using the Site as a consumer (for personal, non-business purposes), certain terms in these Terms of Service may not apply to the extent they are prohibited by consumer protection laws. No provision of these Terms will affect your statutory rights as a consumer. In the event of a conflict between these Terms and mandatory consumer laws, the consumer laws shall prevail for that specific conflict.

You agree to comply with all applicable export and re-export control laws and regulations. You shall not – directly or indirectly – sell, export, re-export, transfer, divert, or otherwise dispose of any content or service on our Site to any end-user or destination prohibited by any applicable laws, without obtaining prior authorization from the competent government authorities as required by those laws.

Entire Agreement

These Terms (together with our Privacy Policy and Cookie Policy) constitute the entire agreement between you and trinitee regarding your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties (both written and oral) related to the Site. In case of any inconsistency between these Terms and other policies posted on the Site, these Terms shall control to the extent of the conflict.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
